JUSTPADEL TERMS AND CONDITIONS

1. Applicability

  1. In these General Terms and Conditions, the following definitions apply:
    ‘Buyer’
    Any natural person or legal entity that is or will be in any contractual relationship of any kind with Justpadel.com.
    ‘Consumer Buyer’
    Any natural person who is not acting in the course of their profession or business and who is or will be in any contractual relationship of any kind with Justpadel.com.
    ‘Products’
    The subject of one or more agreements.

  2. These General Terms and Conditions apply to all offers made by Justpadel.com as well as all agreements concluded with Justpadel.com.

  3. In addition to these General Terms and Conditions, additional conditions may apply to certain services and/or products if explicitly indicated. Should any differences arise between the Additional Conditions and these General Terms and Conditions, the provisions of the Additional Conditions prevail unless otherwise stated.

  4. Deviations from one or more provisions of these General Terms and Conditions are only possible if explicitly agreed in writing. All other provisions remain fully valid.

  5. General Terms and Conditions used by the Buyer do not apply unless explicitly agreed to in writing by Justpadel.com.

  6. The websites of Justpadel.com are aimed exclusively at the Dutch and Belgian markets.

  7. Justpadel.com reserves the right to amend and/or supplement the General Terms and Conditions.

  8. By using the websites of Justpadel.com and/or placing an order, the Buyer accepts these General Terms and Conditions and all other rights and obligations as listed on the website.

  9. Justpadel.com is entitled to use third parties in the execution of an agreement with the Buyer.

2. Offers and formation of agreements

  1. Offers or price quotations should be regarded as an invitation to potential Buyers to make an offer. Justpadel.com is not bound by this unless explicitly and clearly agreed in writing. Acceptance of the invitation to make an offer by the potential Buyer counts as an offer and results only in a concluded agreement if the provisions in this article have been fulfilled.

  2. Offers are valid while supplies last.

  3. A quotation issued in the Buyer’s name is valid for two (2) weeks unless another period is stated.

  4. An offer by the potential Buyer as referred to in Article 2.1 is deemed made in one of the following situations:

  • the potential Buyer has entered data on the designated order screen of the website and submitted it electronically to Justpadel.com;

  • the potential Buyer has explicitly indicated during a visit to a Justpadel.com location that they wish to purchase a product or service;

  • the potential Buyer has explicitly indicated by telephone that they wish to receive a certain product or service;

  • a quotation issued in the Buyer’s name has been signed by the Buyer and received by Justpadel.com.

  1. An agreement is concluded at the moment an order confirmation is handed over to the Buyer or, in the case of an online offer, sent by email to the email address provided by the Buyer. This agreement may be revoked by Justpadel.com if the Buyer does not meet the required conditions or has not met them in the past. In such a case, Justpadel.com will notify the Buyer within ten (10) days of receiving the order.

  2. The Buyer and Justpadel.com explicitly agree that valid agreements can be created using electronic communication, as soon as the conditions of Articles 2.4 and 2.5 are met. The absence of a handwritten signature does not affect the binding nature of the offer and acceptance. Electronic files of Justpadel.com serve, insofar as legally allowed, as proof.

  3. Information, images, verbal communications, and specifications regarding all offers and key product features provided by phone or email are presented as accurately as possible. Justpadel.com does not guarantee that all products fully match the information provided. Deviations do not give grounds for compensation or cancellation.

  4. If Justpadel.com cannot meet the delivery period of 30 days, the Buyer has the right to dissolve the agreement. The Buyer must contact Justpadel.com to do so.

3. Prices

  1. All prices are expressed in euros, in accordance with legal requirements, and include GST.

  2. Special offers are only valid while stocks last.

  3. The Buyer owes the price stated by Justpadel.com in the confirmation as referred to in Article 2.5. Obvious (manipulation) errors, such as clear inaccuracies, may be corrected by Justpadel.com even after the agreement has been concluded.

  4. Shipping costs are not included in the price and are displayed during checkout. Special rates apply outside the Netherlands and Belgium. Certain payment methods may have additional conditions regarding the delivery method and associated costs. These will be clearly communicated to the Buyer.

  5. If product or service prices increase between the order and fulfilment, the Buyer may cancel the order or dissolve the agreement within ten (10) days after the price increase is communicated.

Discount codes and vouchers

Discount codes, promotion codes, and vouchers cannot be combined unless explicitly stated.

Vouchers issued by JustPadel (e.g., at tournaments or special events) may be combined with other payment methods but not with discount or promotion codes.

Vouchers cannot be exchanged for cash and cannot be applied to already placed orders.

If multiple discounts appear applicable, only the highest discount applies unless JustPadel confirms otherwise in writing.

JustPadel reserves the right to modify, limit, or terminate discount promotions, codes, or vouchers without prior notice.

4. Payment

  1. Online orders can be paid using:

  • Bank transfer

  • Credit card (VISA, Mastercard)

  • iDeal

  • PayPal

  • Bancontact

  • Apple Pay

  • Google Pay

Justpadel.com may expand these payment methods in the future.

  1. Payment methods may only be used if the Buyer meets the conditions set by the payment provider, including credit checks, authentication and authorization.

  2. If a payment term has been agreed, the Buyer is in default once this term expires, without any further notice. Payment terms can only be agreed upon in writing.

  3. Credit card payments are subject to the conditions of the card issuer. Justpadel.com is not a party to that relationship.

  4. If the Buyer fails to pay on time, interest of 1.44% per month is due over the outstanding amount, counting each month as a full month.

  5. All (extra)judicial costs incurred by Justpadel.com due to non-compliance by the Buyer shall be borne by the Buyer.

5. Delivery and delivery time

  1. Orders are delivered as quickly as possible. Justpadel.com aims to ship orders placed before 22:00 on working days the same day. The maximum delivery period is 30 days. Delivery times are indicative and not legally binding.

  2. If a temporarily out-of-stock product is ordered, the expected availability date will be provided. Justpadel.com aims to notify the Buyer of delays within one working day.

  3. Deliveries take place at the address provided during the conclusion of the agreement. Credit card payments may be subject to issuer requirements regarding delivery address.

  4. Risk transfers to the Buyer once the products are delivered to the specified address.

  5. Different conditions may apply to international deliveries.

  6. If delivery occurs in parts, each delivery may be treated as a separate transaction.

6. Defects and complaint period

  1. The Buyer must inspect products immediately upon delivery. Complaints relating to visible defects must be reported to Justpadel.com within 7 days of delivery (or 7 days after invoice date if delivery could not take place).

  2. The Buyer, if not a Consumer Buyer, may not return products without justified complaint. If returned without valid reason, all return costs are borne by the Buyer, and Justpadel.com may store the products at the Buyer’s expense and risk.

7. Cooling-off period, withdrawal and exchanges

  1. The Consumer Buyer may exercise the right of withdrawal within fourteen (14) days after delivery, without penalty and without giving reasons. After notifying the withdrawal within 14 days, the Buyer has another 14 days to return the products. Products and packaging must be in original, complete, undamaged and unused condition. All documentation and packaging materials must be included.

  2. Justpadel.com is not liable for damage, theft, or loss during return shipment.

  3. Products made specifically for the Buyer or customised cannot be exchanged.

  4. If the product does not meet the return conditions, the purchase price will not be refunded. The product remains the Buyer’s property and must be collected within two weeks, or delivered upon request.

8. Retention of title

  1. Ownership of products transfers only after full payment of all amounts owed to Justpadel.com, including interest, costs, and amounts related to previous or later deliveries.

  2. The Buyer may not encumber, sell, resell, or transfer ownership of products before ownership has passed.

9. Warranty and liability

  1. Products delivered by Justpadel.com are subject to the manufacturer’s warranty. If the delivered product does not conform to the agreement, the Buyer must notify Justpadel.com within two months of discovery. Consumer Buyers retain their rights under Dutch Civil Code Book 7, title 1.

  2. Justpadel.com is only liable for damage in cases of intent or gross negligence. Justpadel.com is never liable for consequential damage, business losses, or lost profits.

  3. If Justpadel.com is required to compensate damage, the compensation will not exceed the invoice value of the product causing the damage.

  4. No warranty applies in the following cases:

  • normal wear and tear;

  • modifications or repairs without permission;

  • missing or altered invoices;

  • improper or unintended use;

  • damage caused by intent, negligence, or inadequate maintenance.

  1. The Buyer indemnifies Justpadel.com against claims by third parties relating to the execution of the agreement, unless the law prevents such indemnification.

  2. Links on the Justpadel.com website may refer to external websites. These are purely informational. Justpadel.com is not responsible for their content.

  3. Demonstration models may have reduced warranty.

  4. Investigation costs for diagnosing defects excluded from warranty are always charged to the Buyer.

  5. If repair costs apply, the Buyer will be informed. If the Buyer does not agree in writing, the product may be returned upon payment of investigation costs. If these are not paid within six (6) months, ownership transfers to Justpadel.com.

10. Intellectual property

  1. The Buyer acknowledges that all intellectual property rights relating to product information, communications, and website content belong to Justpadel.com, its suppliers, or other rights holders.

  2. Intellectual property includes patent, copyright, trademark, design rights, and all related know-how, methods, and concepts.

  3. No image on this website may be reproduced or made public in any form without prior written permission from Justpadel.com.

  4. The Buyer may not use or modify intellectual property rights, including reproduction, without prior written permission, except for private use of the product.

11. Personal data

  1. Justpadel.com processes Buyer data only in accordance with its privacy policy. The website contains a Privacy Statement.

  2. Justpadel.com complies with applicable laws and regulations.

12. Applicable law and competent court

  1. Dutch law exclusively applies to all offers and agreements.

  2. The applicability of the Vienna Sales Convention is expressly excluded.

  3. All disputes arising from or relating to offers or agreements with Justpadel.com are submitted to the competent court in Amsterdam unless mandatory law determines otherwise.

13. Dispute resolution

  1. If the Consumer Buyer wishes to submit a dispute to the Disputes Committee, Justpadel.com is bound by this choice. If Justpadel.com wishes to do so, the Consumer Buyer must respond in writing within five (5) weeks. If no response is received, Justpadel.com may submit the dispute to the competent court.

  2. The Disputes Committee decides according to its established regulations. Its decisions are binding advice.

14. Miscellaneous provisions

  1. Justpadel.com is a trade name of Justpadel.com, located at Boerhaavestraat 65, 5017 HC Tilburg, The Netherlands, registered with the Chamber of Commerce Eindhoven under 67576915. VAT number: NL001988054B13.

  2. Justpadel.com aims to reply to emails within twelve hours.

  3. Justpadel.com pays great care to this website and the accuracy of its information. Nevertheless, inaccuracies may occur. Upon noticing errors, we will correct them.
    Product photos and descriptions are as accurate as possible but availability and pricing cannot always be guaranteed. Justpadel.com may cancel an order and refund it if incorrect information is published.
